As I understand it only the B series trades on public markets. If SOHO is acquired, why would B series not continue to trade on public markets?

The second issue I see is what if the take private group stops paying the dividends on the preferreds?

Hmmm, yeah, that would be odd. Normally they would then not be able to have the common pay dividends.

That would seem a strange approach to preferred stock, and it would be odd if the preferred dividends could just be stopped without penalty to the owners of the common (otherwise every preferred stock would just have it's payment halted - why pay if there is no penalty for not paying?).
