Class Action Suit
On December 8, 2025, a class action claim was filed against Gauzy Ltd. (the “Company”) and certain of its executive officers (the “defendants”) in the United States District Court for the Southern District of the State of New York alleging violations of Section 10(b) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) and Rule 10b-5 promulgated thereunder, and Section 20(a) of the Exchange Act. The complaint alleges, among other things, that the defendants engaged in securities fraud, including by making misrepresentations and omissions in the Company’s public disclosures concerning the Company’s business, financial condition and results of operations.
The complaint seeks unspecified compensatory damages, interest, costs and attorneys’ fees. The Company intends to vigorously defend itself; however, in light of, among other things, the preliminary stage of the litigation, the Company is unable to provide any assurances as to the ultimate outcome of the lawsuit and is unable to make a meaningful estimate of the amount or range of loss, if any, that could result from an unfavorable outcome.
