if shares are issued for the line of credit they are at least restricted shares.

The above cannot be true and still be a "loan". If shares were issued for cash, that is called a private placement. If we assume the press release is correct then shares have been collateralized. A big difference.

I strongly doubt that the management would risk the wrath of the SEC by calling a private placement a "line of credit".
