I am one of thoese corporate tax guys, and am somewhat familiar with the issue. I found it more intriquing from a technical tax point of view more than anything else, since most stock for stock deals are tax free. Loral's issue is a new issue and has not been dealt with before with the IRS. Loral says they will traet it as taxable unless it gets a letter ruling from the IRS stating otherwise.

I will follow the result as it applies to my professional life more than as it applies to ONSI shareholders. It is good in this case the deal is not contingent on tax-free status as is the case in a lot of merger transactions.
