In order to increase the number of authorized shares, you need shareholder approval. (At least on reporting companies). If mgmt owns the majority of shares, they can virtually print as many as they like. They would be diluting their own shares at the same time. The cash from the selling of these potential shares would go directly into corp coffers thus available for management to spent as they see fit.
