The Ottawa Citizen had reports yesterday and today that the President of Alphacell was in legal difficulties in Montreal with the Securities Commission for "illegally helping to sell R&D tax shelter investments without proper licenses or prospectuses". Robert Roy and his father, Constantin Roy, pleaded not guilty to 91 charges of breaching the Quebec Securities Act and their trial has been held. The judge is expected to render judgement on March 11th (i.e. next week). If Mr. Roy is found guilty on all counts, he faces a minimum fine of $455,000. Mr. Roy and his father are also named as defendants in a class action lawsuit filed in Quebec courts in 1995. In court documents, 2,000 investors claim that the Roys and others sold them or helped to sell them illegal, misleading and fraudulent investments.
In view of the nature of this information, RES asked for a trading halt. Rolf Schliewen, President of RES, is quoted in today's Ottawa Citizen as having instructed the Company's lawyers to investigate the matter. "We hope it won't take longer than a few days." Mr. Schliewen said.
