Here is a simple calculation that I hadn't seen before..
it came from:

This says in effect..
Take the combined market cap of both companies figure out how many shares ECO will have after conversion, divide that into the combined market cap to arrive at an equilibrium price per share.
In this case the combined cap is approximately 282mil.
dbcos converted shares amount to approximately 6.8 mil of ECO shares which added to ECO's 19.4 mil = 26 mil. ... 282/26 = $10.8 share in equilibrium..

Now considering that the time span of conversion stretches out over 2 years, the calculation can be made to be more favorable..

At this point in time, while we are waiting for the CC, it seems that our rational downside isn't all that much to worry about..
