Mr J. Robert Bateman reports
The company has signed a letter contract with J.F. Touborg Consultants, a
mineral exploration service company based in Toronto, to explore for gold
in Mexico. The company will pay nothing to Touborg other than direct
expenses and charges for the image enhancement technology, unless Touborg
finds proven reserves of gold. Touborg will receive US$1.00 for every ounce
of proven gold that they find up to a maximum of US$5 million through
December 31 1997. Each ounce must be deemed economically mineable and must
be certified to yield a minimum per ounce net profit of US$100 to the
company.
The company's decision to employ Touborg to prove up reserves and assist in
establishing an operation in Mexico is designed to make the company and its
assets more attractive to the investment banker that has proposed a private
placement and sale of US$10-15 million of the company's common stock on a
best efforts basis with no more than a 25% dilution to the company.
