Dilution:

If ESVS is really going to issue 50 million convertibles, based on yesterdays close (if they were convertible for that) of $4 5/8's that would mean they would be adding roughly 10.8 million shares to the existing 1.3 million. If they were convertible at $10 they would be adding an additional 5 million to the outstanding. You tell me that this is not dilutional??

There is NO DILLUTION.....what ESVS will be issued is Convertible Preferred Shares that can be converted in two years (if they want to)...."

NETZ has already issued all of the preferreds they had authorized. This means that they either A) authorized and issued more convertibles or B) existing insiders unloaded current holding.

If they issued more shares, that is dilutional PERIOD. What price can they be converted at?? 15 cents? 50 cents? $1??
