Jim, perhaps my question was not clear. SUNY or NPCT, got 30% of the PIC value. Question is, did INCE acquire anything of value in return other than the shell? If not, the transaction is really suspect. The parties had pre-existing relationships/mingled intertests. There are some tests of whether a transaction in these situations was truly an "arms length transaction". IF there was nothing of value received, then there may be an issue of opposing it. Scott
