News Alert from BusinessWire via Quote.com
Topic: (NASDAQ:CMGI) CMG Information Svcs Inc, (NASDAQ:LCOS) Lycos Inc,
Quote.com News Item #5730318
Headline: CMG Announces Purchase Of Accipiter

======================================================================
ANDOVER, Mass.--(BUSINESS WIRE)--March 12, 1998--

--Accipiter Ad Manager To Combine With Engage For Unmatched
Internet Profiling Targeting And Delivery System--

Today, CMG Information Services (NASDAQ:CMGI) announced a binding
letter of intent to purchase Accipiter Inc. (www.accipiter.com), the
Web's leading provider of Internet advertising management solutions.
Company officials noted that the transaction was completed for $35
million of CMG stock; further details were not disclosed. Accipiter
will become a wholly-owned subsidiary of CMG, reporting to Paul
Schaut, CEO of Engage Technologies, a CMG company focused on 1:1
Internet marketing solutions. Accipiter will ultimately be merged with
Engage, creating a single, integrated company focused solely on
developing high-value Web advertising and marketing solutions. Chris
Evans will remain CEO of Accipiter reporting to Paul Schaut.
"CMG is all about Internet synergy," said CMG Chairman and CEO
David Wetherell. "Bringing Accipiter's best-of-breed ad serving
technology and customers together with Engage Technologies' real-time
targeting applications -- which have been built around the world's
largest database of Web user profiles -- makes real sense and will add
real value to interactive marketing efforts." Wetherell noted that
Accipiter technology is serving ads on over 1,000 Web sites including
MSN, Digital Cities, MSNBC, CNET, ZD Net, BBC, Prodigy, WebTV, Lycos
and Tripod.
Commenting on the deal Accipiter's Chris Evans said, "Advertisers
and sites have long been clamoring for a more highly qualified
audience to reach. The Engage and Accipiter combination represents a
significant step forward on delivering the promise of Internet
advertising. By integrating with Engage Technologies' highly-advanced
user profiling database, Accipiter will introduce optimally integrated
behavior-based targeting solutions for high-traffic Web sites.
Ultimately, the result of our combined efforts will be to increase the
amount of high value inventory and provide a unique offering to
advertisers looking for the best way to reach their target consumers."
Accipiter AdManager is the most advanced system for managing,
serving, targeting, and reporting on Web advertising on the market
today. The product is used by some of the most popular destinations on
the Web.
Engage recently announced Engage.Knowledge, a suite of services
and enabling technology that leverage the world's largest behavioral
database of anonymous Web visitors for use in real-time targeting
applications and global Web market research. "Engage-Enabled" Web
sites have access to a massive database of tens of millions of
Internet user profiles -- which include historic and multi-site views
of anonymous, individual users' interests, experiences and usage
patterns -- for use in interactive marketing and online advertising
efforts. By teaming with Accipiter, Engage now has access to the
ultimate source of integrated Internet ad serving technologies,
enabling the Engage.Knowledge behavioral database to provide customers
with a true, next generation, online ad management technology.
"Accipiter has done an excellent job of creating state-of-the-art
ad serving and ad management systems for many of the Web's most
demanding sites," said Paul Schaut, CEO of Engage Technologies. "The
merger of our two companies will allow us to take ad targeting to
levels which independently could not be achieved -- the synergy and
depth of the combined technologies is awesome and unparalleled."
Working with the advanced profiling techniques from Engage,
Accipiter AdManager can request user profiles from Engage Knowledge as
ads are being delivered in real-time, and target these ads to
particular demographic and interest groups based on their proven,
individual interests -- resulting in increasingly sophisticated,
targeted ads that have much more depth, breadth and relevancy to site
visitors.
"At Lycos, we have always believed that, individually, Accipiter
and Engage provide the most robust ad and content targeting
technologies. As a team, these companies could be on the cusp of
providing the most powerful, global online profiling and targeting
solutions -- which will help us attract customers and serve their
needs much more effectively," said Bob Davis, CEO of Lycos.
