Lawrence, do you know for a fact that a buyer would be forced to pay off the debs immediately? I have not seen the agreement. But if so im sure you realize that along with assuming the debs comes all the cash from the sale(assuming they get to it before WDC pisses it away). There are easier way to set up a poison pill.
