Instinet is a quote/trading service for financial institutions, brokerages, funds and very large traders. Buyers and sellers post their bids or asks and these are displayed to anyone connected to the Instinet service. Basically it is a medium which aids the communication between sellers and buyers, i.e. a market. Beyond Instinet there has been tremendous growth in "fourth market" trading between corporations etc. in the last five or so years.

Private markets exist between many large Corporations and Fin. Institutions etc. Fund managers that want to accumulate or sell large amounts of a stock (or bond or whatever) contact their various "contacts" and make offers. With the huge advances in communication technologies the decline of the NYSE's auction format is inevitable at least for large block trades. Currently these private markets are unregulated and unreported.
