Would one way to avoid St. of Cal. having jurisdiction over a state-based corportation be for the corp. (for instance, Intel) incorporate in another state? What about changing the nominal location of corporate headquarters?
As to my comments regarding the 1995 securities litigation reform law, please refer to the editorials in Money Magazine (I think the author was Frank Lilli (sp)) just prior to the time the legislation was to be brought before Congress. They made the case for the need for reform while pointing the most glaring defects in the legislation far more eloquently than I could ever hope to.
Overall, I truly think something 211 would get struck down (either in its entirety or close to it) by the federal courts, as I believe they would take the position that such regulation is that of the federal govt. The proposition also seems to be in conflict with the power and authority of the SEC.
