One of the things I found interesting was the part of the agreement which "leases" the existing plants and employees for 4 months if I understood correctly. It looks to me like Pacer has adroitly set in place a very smooth transition to their own manufacturing facilities and not acquiring any employee liabilities or physical plant ownership. Neat stuff, good deal, wonderful economies of scale. Ya Gotta love it just for the art involved. The seller wrote off about $20,000,000 and we get the works for less than book. YES!
