SB, according to this, the deal isn't really "allowed" to fall apart:

"Also, analysts noted, there appeared to be little wiggle room in the deal that would allow either party to walk out.

''There's nothing in the deal that allows (either company) to get out unless they mutually agree,'' said Gary Helmig, an analyst at

Of course I imagine the shareholders could vote it down. But I don't see DEC's stock growing nearly as much as that of a combined company. If 64-bit NT 5.0 was here now I could change my mind, but with MSFT saying it's 2nd Q of '99, I'd expect a rougher than usual ride on DEC if it was voted down. Imagine the FUD the competitors could come up with then!
