Mr Peter Purcell, vice-president, corporate development, holds 463,000
common shares and 196,000 options to purchase shares at $0.20, being 11.8%
of the total issued shares of Transgold on a non-diluted basis. There are
currently 3,931,798 shares in the capital of Transgold issued as at March
18 1998 after giving effect to the cancellation of 468,750 escrowed shares
which are to be surrendered for cancellation. Mr Purcell has advised
Transgold that he has acquired the 463,000 shares for investment purposes
and has no immediate intention to either increase or decrease his holdings
in Transgold. Notwithstanding the foregoing, Mr Purcell has advised that he
may increase his beneficial ownership, control or direction over shares in
the capital of Transgold through market transactions, private agreements,
the exercise of the options, other treasury share issuances or otherwise. |
