Benny, how other banks will react depends: if they simply buy the Citi system it won't be so bad, but if they think they can bring them into the fold then offer the services of the combine to other banks I can"t help but think that this is one of the few moves they could make that would make their offering LESS ATTRACTIVE to other banks.

Citi has been wondering for a long time what they should do with their money losing processing system. Maybe they've found someone desperate to say they have a viable solution to dump it on.
