* TESORO PETRO has signed a definitive agreement with Australia's
BROKEN HILL PROPRIETARY to buy BHP's U.S. downstream assets,
primarily a 95,000 barrel per day refinery in Hawaii, for $275
million in cash. The deal also includes 32 gasoline stations and
BHP has agreed to a two year feedstock supply deal for the
refinery. Tesoro said it expects the transaction to be accretive
to earnings and cash flow, but it may be neutral this year due to
maintenance at the Hawaii refinery scheduled to begin in June.
