Ok lets put this in to perspective.
It costs a MINIMUM of $250k or more to do a NASDAC IPO about $300K to do an Amex IPO some IPOs cost up to $500K

The reason profitable private companies like to find clean shells to go public with is for many reasons.

1. Its much Cheaper (in this case WOTD management will completely take over the CVIA shell and possibly get stock and cash to do it.)Or just buy a clean shell for $100k to $150k and do a reverse merger.

2. The Shell has MMs already trading it.

3. A TA in place

4. Public companies can raise money alot easier than private companies

5. The SEC registration, and each of the 50 states "blue sky laws" are out of the way, and previously paid for.

and a bunch of other reasons why profitable private companies, look for clean (no problem) shells.

Bottom line less cost less headaches and less time consuming than a regular IPO.
