NW, thanks for the link I use it frequently. The correct filing upon obtaining any loan (or other significant event) is an "8-K" filing rather than a "10-K" or "10-Q". The 8-K, for example, is what CVUS filed on 1-30-98 in connection with the new Morgan loan. The 10-K which will cover 1997 and the 4Q is only AS OF 12/31/97 and would not include any event this year. Hence, my question about the joinder of the 10K and financing announcement - two seemingly unrelated events unless one was to offset the effect of the other.

In any event financing would be great news but we should also closely look at the 10-K. Price increase on good volume today pending news is sometimes a good sign, we will know soon.

Jim is right though about it being a bad sign if the release of the 10-K is delayed past next Tuesday - the next person that talks to the PR person really needs to pin her down on that one. There should not be any wiggle room on that. It is my understanding that 10-K must be filed by then (3/31) under SEC rules.

8-K has to be filed within some period of time (something like a week or 10 days, I forget the specific time) after the significant event but that would not delay a press release prior to that time.
