Phil:

Let me play devil's advocate. I am a big
shareholder of MRVC. I am really puzzled
by one thing, though.

It seems that the DSO's and the inventory
became an issue not only on 4th Q, of 1997
but also 3rd Q, of 1997. Knowing this,
the management could have preannounced the
inventory build-up and its reasons before
they reported 4th Q EPS. I don't know why
they did not.

I know management is great and very trustworthy,
but could this also mean that they are getting
a little desperate in trying to beat EPS estimates
that they became more lax with their accounts
receivables so as to close the sales for the
end of the 4th quarter 1997?

Secondly, it seems that the last EPS was 88% higher,
and this quarter's EPS is estimated to be around
50% higher. Is this a trend of decelerating increase
in EPS?

Thirdly, don't you think that the loss of NN and DEC
was unexpected? If so, don't you think they would
have been more pressed to be lax with their Accounts
receivable just to replace the lost revenue for
4Q, 1997. And what does the loss of these two OEMS
mean to their future?
