Hi Toni, As of 3/9/98, there were only 14,566,000 shares outstanding. It's possible that that number could be actually now be lower due to the buyback shares being retired. Joe has told us time and again, that if every single option and warrant were exercised that there would be 21-22 million outstanding, which is probably where you heard the 22 million number? Determining the value/share of DCI would be pretty tough and for the best guess I would suggest you get ahold of the "hairless cheer-leader". (G) I can tell you that the value of the SMTK shares alone works out to about .76/share. (G) Obviously the film library of Muller must be worth more than any of us have guessed. I remember seeing an older book value number that was mentioned by Joe Murphy on the BB that I think (don't hold me to this) was $1.45/share.

I like the fact that Joe is using debt to aquire the new companies as well since the stock price is so low. If the stock should run up to a reasonable level however, I would prefer seeing us use stock but it is sure nice that with our strong balance sheet that Joe has the ability to go either way with this.

James
