probably because of the S Corp. status; it's really the same as a sole proprietorship for accounting purposes because there's no double taxation as all income or loss flows through to the stockholders.

The primary reason for incorporating (S or C type) is to avoid the unlimited liability a sole proprietorship or ordinary partnership represents. That's a simplisitc answer because now there are LLCs and other forms of business structure that accomplish the same goals.

This is probably more information than the thread needs on this!
