In response to some of your comments Jeffrey Rinde, CFO of DelSoft, has informed me that the Company's authorized shares were increased to 100,000,000 shares of common stock effective December 31, 1997. The purpose of the amendment was to provide additional shares in anticipation of future acquisitions. As of this date, "None of the additional shares have been issued"
