TM,

It is amazing to think that people can get away with these types of obviously dilutive and destructive business transactions.

In fact, it smells more like money laundering than actual business.
(My opinion only and not to be considered as fact)

For those who don't understand Convertible Debentures they are the decendant of the 'ol Reg S placements that were so popular several years ago.

In a nut shell, with convertible debentures you have the right to convert your debt into actual stock after a period of time. Unless properly written, you will find the stock price coming under heavy pressure since those debt holders want to be able to convert into as many shares as possible for as low a price as possible.

Regards,

Ron
