INTRINSYC ANNOUNCES merger with ANNASOFT

March 31, 1998 - Intrinsyc Software is pleased to announce it has entered into an agreement to merge with Annasoft Systems. Annasoft is the world's leading supplier of Microsoft operating systems to the embedded software market as well as being a value-added services provider to the industry. The combined company will be the only publicly traded company to offer a single source for Windows CE design solutions to original equipment manufacturers (OEMs) guaranteeing record time to market for new consumer and commercial electronics product designs.

Under the Agreement, Annasoft Systems, its sister company Annabooks, and Intrinsyc Software, Inc. will all become operating subsidiaries of a single parent company. This merged entity, which the parties intend to register as "Intrinsyc, Inc." will be headquartered in San Diego, California - an ideal location for market access. It will be incorporated under U.S. laws, and will continue to be listed on the VSE while preparation for a U.S. listing is undertaken.

Following completion of this transaction, the shareholders of Intrinsyc Software, Inc. will hold approximately 54% of the outstanding shares of the parent company, subject to adjustment at the closing. Initially there will be 5 directors nominated for appointment: Derek Spratt, William Yu, and Ron Erickson from Intrinsyc; Richard Eppel and John Choisser of Annasoft. It is anticipated that 2 additional directorship appointments will be made from industry in due course.

Mr. Richard C. Eppel, President of Annasoft Systems, will become the President & CEO of Intrinsyc, Inc. Mr. Eppel has extensive experience in the OEM marketplace. He has served in executive management positions in the computer industry for the past thirty-five years with companies such as Control Data Corp, National Semiconductor, and I-Bus. As President of I-Bus, the world's first embedded PC company, he was instrumental in growing revenues over 25% per year compounded from approximately C$10 million to C$48 million during his tenure. For the past sixteen months Mr. Eppel has headed Annasoft Systems, transforming the business, which pioneered licensing of Microsoft operating systems in the embedded world, into the leading supplier of CE-based solutions.

Mr. Derek Spratt, Intrinsyc's current CEO, will become Executive Vice President of Business Development. He will continue to focus on building the corporate vision, capabilities and growth of Intrinsyc through acquisitions, joint ventures and strategic alliances. Mr. Spratt has a broad range of public company and technical leadership talents and experience that are well suited to the business opportunities at hand.

Annasoft is the leading licensing source of Microsoft operating systems to the embedded software market, including MS-DOSr, Windows 3.1r, Windows for Workgroupsr, Windows 95r, Windows NTr, and Windows CE. The company also provides OEM's with design, development, and integration services, covering concept design to product manufacturing. These services include hardware design and packaging, driver development, application support, prototyping, pilot manufacturing as well as education, training and support. In addition to developing and marketing its own embedded Windows software products, Annasoft distributes a variety of third party products. Annabooks, a sister company, publishes a line of technical books and materials on embedded software and hardware technologies, provides workshops and advanced PC technologies, and produces the PC developers conferences and Expos in San Jose, Paris, and Taipei.

Annasoft Systems and Annabooks, founded in 1989, have a large customer base with reported annual (Feb 28/98) revenues of approximately C$10 million (management stated) with strong growth projected in 1998. Together Annasoft Systems and Annabooks directly employ 20 marketing, sales and technical staff members in their San Diego offices, in addition to enjoying a close working relationship with a group of 30 subcontract developers who are under exclusive engagement for Windows CE systems integration work. Collectively with Intrinsyc, this brings more than 85 people together to offer OEMs a broad range of technologies and services for rapid embedded systems product development.

INTRINSYC ANNOUNCES THE LAUNCH OF ITS RAINBOW QUICKSTART PROGRAM

Embedded Systems Conference, Chicago - March 31, 1998 - Intrinsyc Software, Inc. is pleased to announce the launch of its Rainbow QuickStart program. Intrinsyc has enhanced its Rainbow product line with the Rainbow QuickStart program, to deliver all the key elements Original Equipment Manufacturers (OEMs) need to easily incorporate web server technology and accelerate the development of their Windows CE -based devices.

With the introduction of Rainbow, Intrinsyc assumed a leadership position in delivering value-add web technology for Windows CE-based systems. INTRINSYC ANNOUNCES INTEGRATION EXPERT FOR WINDOWS CE

Embedded Systems Conference, Chicago - March 31, 1998 -- Intrinsyc Software, Inc. is pleased to announce a new release of Integration Expert (IX), enhanced specifically for Windows CE. IX is a comprehensive suite of development tools focused on improving design productivity while maximizing system reliability which has now been extended for developers of Windows CE-based embedded applications. IX for Windows CE simplifies development, maximizes performance, and minimizes the cost of embedded systems by delivering component modeling, visualization, and analysis capabilities that extend the Microsoft Windows CE Embedded Toolkit (ETK) for Visual C++.

Building upon the early acceptance of IX for Windows NT, used to develop embedded applications for Windows NT-based systems, IX for Windows CE introduces new capabilities that complement the Microsoft Windows CE ETK. IX simplifies the configuration of Windows CE by enabling developers to drag and drop operating system modules and application components into their project from the IX Component Gallery. Developers can easily edit ROM configurations and the registry as well as database and system initialization files. IX allows developers to optimize Windows CE by providing a rich set of analysis tools that determine the interdependencies between objects in their project.

IX includes a local and network-based Component Gallery. The Component Gallery accelerates the development of Windows CE-based systems by enabling developers to quickly locate, evaluate, and integrate third party OS or application components into their system. Bringing Simple, High Reliability to Distributed Windows CE-based Systems

Embedded Systems Conference, Chicago - March 31, 1998 -- Intrinsyc Software, Inc. is pleased to announce the latest version of its WinFT software fault tolerance product for use in web-enabled, Windows CE-based embedded systems. This new version of WinFT, in conjunction with Intrinsyc's market leading Rainbowr embedded web server, brings high system reliability to distributed Windows CE-based industrial automation, online transaction processing, data warehousing, control systems, telecommunications, retail or health-care applications. With WinFT for Windows CE, Intrinsyc continues its leadership position as the premier source of value-added software tools and components for Windows CE-based embedded system design.

WinFT for Windows CE implements all the key fault tolerance features already available in Intrinsyc's market proven WinFT for Windows NT. In essence, WinFT consists of a watchdog server and a watchdog client. The watchdog client allows users to access and configure the server. Based on user-defined criteria, the watchdog server running on each device can start, shutdown and monitor existing applications or new WinFT-enabled applications developed using the API (Applications Programming Interface) library provided in the WinFT OEM Development Kit (ODK).

With the availability of WinFT for Windows CE platforms, the WinFT watchdog server can now be accessed remotely via Intrinsyc's Rainbow embedded web server, thus reducing the client to a standard, familiar web browser. This is a powerful and necessary concept for distributed Windows CE-based embedded systems where the devices may not necessarily be equipped with user input and display interfaces. Systems administrators can remotely monitor or even reconfigure the fault tolerance behavior of any device in a network quickly and efficiently.

INTRINSYC INTRODUCES DEVICECOM

Supporting Distributed Applications for Windows CE-based Systems

Embedded Systems Conference, Chicago - March 31, 1998 -- Intrinsyc Software Inc. is pleased to introduce DeviceCOM, a new middleware technology that provides the embedded software industry's first DCOM (Distributed Component Object Model) and OPC (OLE for Process Control) support for Windows CE platforms. With the introduction of DeviceCOM, Intrinsyc continues its leadership position in delivering value-added connectivity technology for Original Equipment Manufacturers (OEMs) and developers of Windows CE-based systems.

Intrinsyc's DeviceCOM extends the use of Windows CE in new markets by supporting two key standards for distributed applications: DCOM and OPC. DCOM is a standard developed by Microsoft to support communication among objects between different computers across a network. OPC is a DCOM-based standard created by the OPC Foundation, a consortium of leading industrial automation hardware and software vendors. OPC standardizes the interaction between process control software and control and acquisition devices, thus providing "plug & play" inter-operability in multi-vendor environments.

Intrinsyc's first release of DeviceCOM will include two product options: the DeviceCOM OEM Development Kit (ODK) and DeviceCOM for OPC. The DeviceCOM ODK is an add-on to the familiar Microsoft Visual Studio software development environment, and allows software developers to easily create custom COM interfaces to Windows CE devices for their distributed applications.

DeviceCOM for OPC is an industry specific, standalone product that implements all the standard OPC interface elements in Windows CE. DeviceCOM for OPC enables OEMs and developers to easily deploy Windows CE devices specifically where OPC is used as the interface between the control software and the remote devices. Furthermore, DeviceCOM for OPC requires no programming and includes all the necessary runtime libraries, OPC stub/proxy libraries and configuration utilities.
