Ladies and Gentlemen; STOCKHOLDER PROPOSALS FOR THE NEXT ANNUAL MEETING OF STOCKHOLDERS Any stockholder proposal to be considered for inclusion in theCompany's proxy soliciting material for the next Annual Meeting of Stockholders must be received by the Company at its principal office by June 30, 1998. We have less than 3 months to get a proposal together. We will need to, over the course of the next 2-3 weeks find out the following. ---Location of the principal office ---To whom should the proposal be addressed ---What is the acceptable format of the proposal ---Is there a minimum number of shares required as signatories to the proposal. I am willing to get involved since I feel that the company has been idle with respect to its fiduciary responsibility to increase shareholder value. It is unacceptable to have a company trade at a 50+% discount to liquid assets. Cistron is located in Pine Brook, NJ. 1-973-575-1700 Corrsepondence should be continuous until all pertinent information is known.
