Recall that they filed a 8-K re Smith's perks and that the 10-K delay was caused by [that and] the unapproved option plan. Maybe Steve Smith is, rather than just sulkily picking up his marbles, somehow trying to muscle the co into restoring the missing options? Though I agree that "Steven Bogen likely is looking for a white knight with deeper pockets to buy out the co. to get out of this mess.", the Smiths seem to have made it difficult with the 'no-shop' clause and the no-go giveup.
