Due to the departure of the chief accounting officer of the Company's
operating subsidiary on February 21, 1998, the Form 10-K could not be filed within the prescribed time period without unreasonable effort or expense. This issue was exacerbated by the time required to properly disclose the effect on the Company's financial statements of significant financing transactions that were being negotiated during March, 1998.>>
