Exactly, stockholders got screwed. Stockholders should have
shared with management some of the $$$ of the bail out of
modem business, i.e., payment from BOCA should have been say
$5 million in cash and $10 million in BOCA stock directly to
shareholders. In fact, I would say that if stockholders are
angry enough, they could demand that BOCA pay them off with
some stock. As shareholders, we should have the choice to
maintain an interest in the mainline business we invested in.
Management has not given us this choice. If they want to
split the business in two, then let them split our equity, too!
Lawsuit won't help. But perhaps stockholders bringing in a
potential second suitor could force a better deal. Management
wants the sell off, so let's assume that it will happen. The
dispute is on the terms to the stockholders. Find another
modem company. A competitor to BOCA. Hell, even 3COM!
