Dennis- Are you sure? My understanding of Form 144 is that it MUST
be on file prior to a sale by an insider. I am not a professional in
SEC regulations, can you (or someone else) definitively clarify
this issue.

It strikes me that a Form 144 would become a meaningless bureaucratic
exercise if insiders were allowed to file them after the fact. Why
would anyone bother to file them ahead of time? And why would anybody bother to even look at the filings. Rather you would have to wait and look at the Form 4 to see what happened. The insider would be filing both forms at the same time.

In the past I've held shares with Form 144 filings that were
never followed up on. The insider filed and then changed their mind.
Why would they bother with the expense, ect., if the regulations were
that sloppy?
