AA & all - AA, I don't see a big deal about this proxy. I guess we are spooked and feel everything has some extraordinary significance. The trend of the networkers is consolidation and stock is still a good currency - especially if pool-of-interest [better tax treatment] is used. BAY, or any co for that matter, should not try to increase max authorized shares for issuance at the 11 hour. It sounds like BAY has a Right Plan. Again, fairly typical stuff. The important thing is for BAY mgt to fulfill its fudiciary duties if and when someone is proposing. On a separate note, some minor news biz.yahoo.com Btw, guys, what a laugh, DJIA up 1.3% and my portfolio down 1.5%, thx to BAY <SG> rgds Bosco
