Dave, From what you say the logical thing is for MAC to assume a lesser role. They have shown such a lack of ability that a graceful way must be found to remove them from the point position(control). After all, how would they have treated you if the positions had been reversed and you had been in financial default and they had rescued your end?
There is a certain natural justice in making them yield their majority position as a penence for their errors and omissions.
Run by you MGR will recover and there smaller % will become valuable. if they are left to run it they may well ruin it and then all the jobs will vanish, as well as the expertise, sorely needed over there.
