Thread: LUCENT can use pooling-of-interest techniques for an acquisition of BAY (or any other company) from midnight on 8th October, 1998. Does this preclude them from announcing the terms of the takeover before that date with the takeover to take-effect on or after 8th? If so, would other companies interested in BAY not want to show their hand sooner to get the jump on Lucent? Perhaps the period July-October might see some real takeover action, or at least, some serious speculation.

I think it is a bit ridiculous to suggest, as some analysts do, that because Cisco is so dominant other substantial competitors cannot prosper. I notice that Chambers recently said that he expects COMS and BAY to remain as the main competitors of Cisco. Nevertheless, there is a compelling case for BAY to join with a stronger telecommunication company, especially one with marketing muscle. BAY might very well initiate such a move if it feels that it cannot overcome Cisco's advantages quickly enough. I think that it is probably in shareholders' interests that BAY be taken-over rather than BAY become the acquisitor or be an equal merger partner. This is a general principle which might be overruled by the specific terms of any potential deal.

Anyone want to join me in stoking the fires of takeover speculation? :-).
