Checked with a securities lawyer I know. He said it would be ok to repurchase the stock as long as it is at a "fair" price, and they should have gotten a fairness opinion. However, he says that if the company bought the shares, that is a "material fact" that should have been disclosed in the press release. Not doing so would open them to shareholder suits. He thinks this is so obvious, that he doubts the company bought back the shares, since they would have had to disclose that fact.
