Tim Brink
Sr. Managing Director of Wexford Capital in Minneapolis, MN.
Discussions with Atix continue. He couldn't answer specifics as
negotiations are continuing.

ATXI identified in 11/97. Looked upon as undervalued.
Wexford offered suggestions as to enhance value.
Wexford approached then FAMH after reviewing company
performance and speaking with FAMH mgmt. They saw FAMH
core business model as posed for tremendous growth. They see
as FAMH mgmt as very strong

How does this merger affect FAMH?
Trading symbol change is up to Ira.
FAMH will be the controlling shareholder group with no tax
consequences for FAMH holders.
Ira made a point to Wexford that the main point is to enhance
FAMH shareholder value.

FAMH won't be a new company. They will just be operating under
the NASDAQ environment. With more exposure and tighter
market-maker rules. All enhancing shareholder values.

Brink said that this will SIGNIFICANTLY increase shareholder
value.

After letter of intent is signed,
all shareholders would have to agree on the merger.
Vote would happen between 14-60 days after special shareholder
meeting.

Collateral Agreement signed by Myriad today 4/2.
