George,

You keep asking about the WorldPass deal so I'll give you my take
on the status and that and $3.00 will get you coffee at Starbucks....

The WP deal was a Letter of Intent or LOI. An LOI locks a company in
to an agreement with us whereby they can't bring in another bidder
on top of us. It gives us time to due our corporate due diligence
by sending in an accounting firm to fine comb the books. I would
speculate that MOST LOI's don't come to fruition because once you
get to look "inside", things are not actually as you thought they
were from the outside.

As for WP.....we have seen no signed agreements from both parties.
We do know there were ongoing negotiations but they seem to have
stopped for the time being. If WP was being difficult to negotiate
with and DCTC had other deals that needed attention, WP gets put
on the back burner. As we have seen from the past 2 days, there are
other deals out there to be worked on.....
