.....Melviticus, there is no event that will add FAMH to NASDAQ! The events that will take place are roughly as follows; they may not be in this exact order, and I may have left out one or two moves (state laws vary):
.....1. FAMH (with over 5% ownership & together with friendly shareholders) calls a board meeting. By law, Atrix must comply, within a specified number of days.
.....2. A request for resignations from the current board members will be made. Per previous written agreements, they will resign (not be fired - remember, they receive warrants).
.....3. A motion will be made to install a certain board of directors. This motion will pass, and the new board will be installed.
.....4. A motion will be made to install Ira Monas as President, and other officers of the corporation, per previous agreements, this will pass, and the officers will be installed.
.....5. A motion will be made to acquire all of the shares of FAMH. It will be seconded, and approved, with the help of friendly shareholders. Each FAMH shareholder will receive 1 share of ATXI for 4 of their shares of FAMH.
The following is my guess as to what happens!
.....6. A motion will be made to sell certain assets (the old business) to one or more Atrix shareholders, at a previously agreed price. This will pass.
.....7. A motion will be made to liquidate other assets (which do not relate to the old business, or to the core business of FAMH), and this will pass.
.....The company will remain Atrix (unless they decide to change the name), and will continue to trade on NASDAQ, as in the past. The appropriate agencies will be notified of all of the developments, and the NEW Company will be audited, and these audited results submitted to the appropriate agencies.
.....The share value will be determined by the audited financials of the NEW company (the combination of Atrix + Myriad + other acquisitions + Finance Division + MD Show + old FAMH), not the current FAMH. FAMH will cease to exist, in other than a corporate divisional capacity, and its stock will not trade, as it will have all been purchased by Atrix).
.....My view is: if the combined value of the new company reflects the very positive apparent earnings. The share value will rise significantly beyond the $3-$4 level that I initially expect. The reason being, that ATXI will be a $75-$100,000,000, highly profitable upstart, in a swiftly moving (highly profitable) personnel placement industry, with the most aggressive management team in that industry.
.....My further view, is that we can expect (in 1998) several large acquisitions, not unlike Atrix , as it is obvious that Ira has brokers looking for potential acquisitions. We now know that if Ira finds a company he wants, that CAN be acquired (by any means), he will purchase that company via a hostile takeover, if necessary.
.....My personal advice is to HOLD YOUR SHARES through this merger. Have the guts to wait it out, because the real value of your shares is not in FAMH, but in the newly combined company ATXI.
