Benson says Cabletron to announce acquisition

Cabletron Systems Inc. (CS) CEO Craig Benson reassured employees today that
everything is fine with the networking company.

Just days after the sudden resignation of CEO Don Reed, followed by the departure of
two other high-level executives who protested the move, Benson told Cabletron
employees in a newsletter that the company will announce an acquisition and new
hardware in two weeks-proof that Cabletron is moving forward.

Although Cabletron officials declined to elaborate on Benson's comments, the hardware
could be new SmartSwitches that double the density of current products but at lower
prices, sources said.

Co-founder Robert Levine yesterday came to Cabletron's Rochester, N.H.,
headquarters to address the sales staff, officials said. Morale has been low as rumors
spread about Cabletron's possible demise following Reed's departure. Reed was CEO
for seven months.

Cabletron needs to shore up several areas of its product line, industry observers have
said. An acquisition could come in the carrier access market, or possibly in the services
area with virtual private networking or voice over IP.

Other analysts consider Cabletron itself ripe for acquisition. Compaq Computer Corp.
is one company that has been mentioned as looking to buy Cabletron.
