You're absolutely right Roger, thanks for keeping us focused on the big picture. Re CTXS, from the following parts of the proxy statement it sounds like voter approval is needed to increase the number of shares:

<< increasing from 60,000,000 to 150,000,000 the number of authorized shares of Common Stock ... Only stockholders of record at the close of business on March 23, 1998 will be entitled to receive notice of and to vote at the Meeting ... approval of the amendment to the Certificate of Incorporation will require the affirmative vote of a majority of the outstanding shares of Common Stock of the Corporation ... >>
