It is my understanding that an "S-8 Filing" is used for executive compensation...

usually for stock options not payment to Reg. S or consulting fees. Who was Huttoe calling for management advise? I would think he would have called the SEC/NASD or a corporate broker for the proper forms.

I believe these S-8's are the reason the SEC halted the stock, who wanted it, I don't know. Maybe the size of the S-8's triggered the monitoring software the same way a large amount of option trading before a news release is detected.

I don't have the figures in front of me but I believe the total shares of ALL the S-8' was approx. 35 million?? (GUESSING RIGHT NOW). It is my understanding that these shares were exercised by Huttoe, Maria or a few individuals. I'd like to know who received the 20 million shares on the largest S-8?

I'd like to know more about the specifics and if several individuals can be grouped into ONE S-8 filing (I don't think so).

The S-8 forms are very common and used by just about every corporation.

These filings are the nucleus of our problem right now. If we could eliminate these we would be sitting VERY PRETTY!
