IMPORTANT!! READ!! All: Spoke to Ira on AOL tonight. It was about a 45 minute conversation. Well I spoke to him for 5 minutes, then he didnt talk to me for 30 minutes..then we spoke for an additional 10 minutes. I think you will like the news. I mentioned the possibility of a lump sum dump of shares on the market by a certain financial institution and his response was: "possibly but I doubt it" "any proof ill retaliate" "ill found out tommorow" "cant hurt us anyway tooooooo strong" He thinks the trade was a misprint at this time. He thanked the shareholders for their support. I asked "does famh have any debentures? convertibles at this time?" Answer: "no such thing not available" I take that as no. He DID add "there are registered warrants but severely restricted" I asked time restricted, or price restricted? He answered "both" I asked twice about total shares outstanding as of 3/31/98. He didnt answer for 35 minutes and then as i was about to post this he came back chatting. Answer: " 45 mill with 30 held inside/restricted" Very very happy to get that info.. I waited 30 minutes for it. LOL I asked about Ed Taxin and his mentioning the possibility of lower than 4:1 exchange. Answer: dont know exact exchange depends on prices at time My comment: ATXI is toast Ira: i know My question: So Ira, is it safe to say it COULD be less than 4:1 , like 3:1 or 2:1 .. but there is NO CHANCE it could be greater than 4:1???? Some people are speculating if famh drops it could be 5:1 etc.. i want to refute that. Answer: no more than 4 probably 2.5-3 YAHHHHHHHHHHHHHHHHH!!! He didnt say for sure.. so look for 2.5-4.0. I reiterate he did not say it WILL NOT BE 4.0 shares.. he just stated its possibly lower. I asked: If ATXI signs on April 30th the LOI, how long before FAMH goes NASDAQ? is it instant? i.e. May 1? Ira: immediate He also said : IRAFM: loading the guns for tommorrow Then he bid me goodbye. First time I had talked to him, so was glad to get a lot straightened out. So now everyone owes me 100 shares of FAMH for this DD ;) Best, and hopefully many of us can sleep even better. Smiles, Mark
