Our primary motivation behind the recommended reverse stock split of 1 oldMicroProse share to 5 new MicroProse shares is to maintain our NASDAQ listing on the National Market. We have done some research on several reverse splits and there is no conclusive result. As you know, many of these companies were already having serious problems which led to their low prices, and then they were not able to overcome those problems and the stock continued to drop. Other companies have been able to get beyond the problems and have found success with rising stock prices.

We think the key for MicroProse is to return to the model which produced a profitable fiscal year 1997, with some "super hit" titles like "Civilization II" and "Grand Prix II" along with solid performers like "Top Gun." We now have some 20 titles in development and expect to launch 12 of those during the 1999 fiscal year so that we can grow our revenues back to the $100 million level of 1997, with a return to profitability.
