From a stockholder POV, a simple majority is all that is required. In order to insure this, proxies will be solicited by mail, telephone, fax, or even personally. It is very important to get this deal approved.

Assuming a positive outcome, has anyone considered the "new and improved" Price-To-Book ratio once the $66.5MM in debt is retired?

If you owned any STLC on August 5th, 1996 you should have received a proxy by now.
