Thanks for the phone number. I wrote up 5 pages of notes and questions I've been hearing on the thread, called, and spoke to Keith. I only got thru page one before he had to go and take care of other business. I'll call him back on Monday...

First of all Keith does not work for CVIA. He is employed by another company Jack owns. He is helping out answering phones and questions. WOTD will be headquartered in the Seattle area and Jack will run IR from a satellite office in OK.

The two topics I was able to cover were CVIA/WOTD and the Reg S.

WOTD was incorporated in 1993 and their business plan was always to acquire profitable oil and tire businesses since that is their area of expertise. I believe he used the term "Industry Pros". As soon as the merger is signed and announced, the background of WOTD principals will be disclosed in SEC filings. I asked if they had any experience in IPO's and he said "ABSOLUTELY!".

The long term investors being lined up are for future acquisitions (and not the Reg S shares). There are many privately owned oil/tire businesses who's owners are of retirement age. The tax implications of selling outright is so great that being acquired by WOTD is very appealing. The acquisition agreements will be such that it provides long term increasing value to the owners without the high tax burden.

The $500k is IN THE BANK earning interest and short term expenses are being paid from this. Reg S is fully in the float. They didn't expect it so fast but are happy its all out. Current price is about the same that the price when Res S was announced in Jan so stock did not suffer much.

I asked Keith if he's met the WOTD folks and he said yes and felt very good about them. I asked how CVIA got hooked up with WOTD and he said a friend of a friend of a friend. WODT has been looking for a merger candidate for a long time and it looks like CVIA is it...

I got 4 more pages to cover with him on Monday. Jack will not be available next week as he's taking care of business details. He was on the phone when I called and was off to the lawyers after that.
