-The current direction of SQI is as follows:

At Alpha Software Corporation the corporate mission is to secure top-tier
status in software publishing. The recent successes in the entertainment
and edutainment categories have allowed us to identify new strategic
opportunities in this high growth area, centered around licensed properties
and other hardware platforms. Though there is no guarantee of success, we
are aggressively pursuing these opportunities and others.

At SoftQuad Inc. our strategy is to broaden the product line and generate a
more stable revenue stream throughout the year.

-In the short term, we are encouraged with regards to our e-commerce
enabled HoTMetaL Application Server. HoTMetaL APPS complements HoTMetaL
PRO very well to create a complete web creation tool for a new generation
of dynamic, data-driven websites. The combined product presents a unique
value proposition to web developers, web hosting services and their customers.

Longer term, the HoTMetal Application Server also begins to leverage our
position within the emerging XML market. We hope to further capitalize on
this as the adoption of the standard continues.

With respect to the SGML corporate market, the Panorama CDWeb Publisher
will soon be coming out of beta into commercial release.

- The management of the company is working very hard to position the
company for future success. Though management is strongly committed to
seeing the company become profitable, with all of the variables facing us
in the marketplace, it's a bit premature to predict when this will occur.
