Lets step back a bit.

CVIA was a clean shell worth 600k to 800k to someone. (verses IPO)
We had a tax loss carry forward in the millions. (saves tax$)
We had a Reg S $$ in the bank of 500K (we being CVIA shareholders)
every 1mm shares were worth 1/150 of the total shares authorized
We were about to have a profitable business used to grow the business gradually.

Now each 1mm shares today worth 1/15,000 of the shares auth today.
WOTD has our Reg S $$ in their bank account (easter bonus time)
They will buy the first candidate for a few million restricted shares of their stock freshly printed.

"We plan to start a company with wal-mart type qualities for executives and BRE-X kind of investor benefit"

I guess we should have told Jack to limit his search to Internet related companies
