loan? If so, where are they in process? How much is being requested? What is
expected? What is the track record of benefactors of this type in lending to
companies in similar situations (EG Do they have a history of lending to
companies like TFRY or the loan request simply a shot in the dark?)

Incorrect Information Q. 15. Does Ed Kelly have any other history of being
charged with offenses similar to the ones currently pending?

As 15. Edward C. Kelly is on outstanding citizen and a leader in the community.
He does not have a record, he has never been charged with any offense and the
litigation pending is from a disgruntled shareholder and an ancient inventor who
has sued half the free world for supposedly copying his invention of a French
fry machine (which by the way does not work). The disgruntled shareholders suit
has been dismissed and the United States Patent office does not agree with Mr.
Inventor because on July 23, 1996 a United States Patent for the unique
invention of a French Fry Vending machine was issued to Edward C. Kelly.

Incorrect Information Q. 16. What specifically lead to these charges being filed
against Mr. Kelly? If they are false why has Mr. Kelly not filed a counter claim
for damages and malicious prosecution?

A 16. You are obviously reading the legal proceedings in the K and Q. Please
note that all the litigation is pre-1994, prior to Mr. Kelly becoming President.
Answer #l5 is Mr. Kelly's only involvement.

(this is relevant because if they are criminal it means that a prosecutor
thought the evidence was meritous enough to pursue the matter).

directors? How much stock do they own collectively? What type of business
experience do they have? Are they similarly under the cloud of charges similar
to those that Mr. Kelly is facing?

A. 18. Mr. Kelly has surrounded himself and the company with a truly
distinguished group of directors. They are: Mr. Leonard Klarich of Knoxville,
TN., Mr. Ian Lambert of Canada, Mr. Jurgen Wolf of Vancouver, B.C., Mr. Kurt
Ziemer of Lancaster, Pa. Their business experience and ownership in Tasty Fries
is clearly documented in the 10KSB and 10QSB.

legal council?

A. 19, Mr. Kelly has never had to liquidate stock to pay legal counsel. Mr.
Kelly does not have any legal problems.

Incorrect Information Q. 20 How much in management fees is being paid to the
various board members or others? Specifically, what services are they required
to perform to "earn" these management fees?

A. 20. None of the directors of Tasty Fries, Inc. is paid a management
fee.
