This response echoes a reply that I got from VP Goetz regarding questions on the proxy and lack of PTIS awareness in the investment community. IMO, these are plausible explanations for recent events and I believe the reasoning for the amendments in the proxy is sound. This company has had steadily increasing earnings for the past three years, where the net income has outpaced the sales (indicating improved operating efficiencies). There is no fundamental reason for the stock to be trading as it was a few days ago at a PE of ~14.5. Doesn't this situation make it more likely for a hostile takeover? The protection offered by the amendments also protects shareholder value. I think Scott makes a strong case for the company's position.
